Subscription Agreement

By accepting and making Payment to the Invoice, it is hereby informed that you subscribing to the Recroot AI-based interview platform and you (also referred as ‘Your’ and ‘Customer’) are agreeing to the following Terms and Conditions, which govern your use of Recroot’s Services. We suggest you to read following Terms and Conditions very carefully:

1. Subscription

1.1. Recroot provides a number of paid subscription plans. These include an “Insight Plan”, “Pro Plan” and an “Ultimate Plan” which is configurable by you. Details about each plan and the features included can be found in the pricing plan (https://recroot.io/Pricing). The types, options, and details within each Subscription Plan may be updated from time to time. We will give you prior notice via your Business Account or via email of any changes. Changes to any Subscription Plan will become effective from your next Billing Cycle.

1.2. You will need to set up a Business Account to access the Services, in accordance with the Recroot General Terms and Conditions (Business). You will be subscribed to the free trial for a period of 14 days to enable your access to the Services after which you need to upgrade.

1.3. Cancellation: You may cancel your Subscription Plan at any time by providing 24-hour written notice to business@recroot.io. If you cancel your Subscription Plan before the end of the Billing Cycle, you will continue to have access to the Services until the end of that Billing Cycle, after which your access to the Services will be terminated.

2. Use of Services

2.1. Recroot grants you the right to use the Services in accordance with your Subscription Plan. Use of the Services must be in accordance with the Recroot General Terms and Conditions.

3. Billing

3.1. Billing Cycle: The subscription fee for the Subscription Plan and any other charges you may incur in connection with your use of the service, such as taxes, will be charged to your chosen Payment Method at the start of each Billing Cycle. The length of each Billing Cycle is 30 calendar days and will begin the day you opt into a paid Subscription Plan. The Subscription Fee will depend on the Subscription Plan that you choose in accordance with the pricing plan(https://app.recroot.io/pricing)

3.2. Payment Methods: There are two Payment Methods available to pay your Subscription Fee:

  • You may add your corporate card (debit or credit card);

  • You may request a monthly or annual invoice. Recroot will then send you an invoice, which will need to be paid in advance of access to the Subscription Plan.

3.3. Overdue Fees: If a Subscription Fee is not successfully paid due to expiration of the primary Payment Method, insufficient funds, or otherwise, you remain responsible for the unpaid Subscription Fee. Recroot reserves the right to suspend your access to the Services until we have received the full Subscription Fee.

3.4. Changes to Prices: We may vary the Subscription Fee from time to time by providing you prior notice. The new Subscription Fee will come into effect from the following Billing Cycle, and you may cancel your Subscription Plan before then in accordance with clause 1 above.

3.5. Refunds: Recroot does not offer pro-rata refunds or refunds of unused services. If you no longer want to pay the Subscription Fee, you must cancel your subscription before the end of the Billing Cycle in accordance with clause 1 above.

4. Liability

4.1. Liability: You are liable to pay the Subscription Fees as and when they become due and payable.

4.2. Limitations on Liability: To the extent permitted by law, Recroot’s liability to you for all claims arising out of or in connection with this Subscription Agreement shall not exceed the total value of any Subscription Fees collected by Recroot in the month prior to the incident giving rise to the liability, regardless of whether the liability arises under breach of contract, tort (including negligence), statute, equity, contract, or any other cause of action.

4.3. Consequential Losses: Neither you nor Recroot are liable to the other for any consequential or indirect loss, including but not limited to loss of profit, lost opportunity cost, or loss of enjoyment.

5. Customer Responsibilities

5.1. The Customer is responsible for utilizing the interviews within the subscription period.

5.2. The Customer must ensure that access to Recroot’s services is used only by authorized personnel for the agreed-upon purposes. Recroot will not take any responsibility for unauthorized usage of interviews.

6. Service Availability

6.1. Recroot aims to provide uninterrupted access to its interview services, subject to periodic maintenance, upgrades, or unforeseen technical difficulties.

6.2. Support for the platform will be provided in accordance with Recroot’s standard service level agreements (SLAs).

7. Confidentiality and Data Privacy

7.1. Recroot will maintain the confidentiality and security of all Customer data in accordance with applicable laws.

7.2. The Customer agrees to comply with all applicable privacy laws, including the proper handling of candidate data.

8. Intellectual Property

8.1. All intellectual property rights related to the Recroot platform remain with Recroot. The Customer is granted a limited, non-exclusive, and non-transferable right to use the platform during the subscription term.

9. Governing Law and Dispute Resolution

9.1. This agreement is governed by the laws of Australia, with New South Wales as the jurisdiction for any disputes arising under this agreement.

9.2. Any disputes will be resolved through amicable negotiation, or if necessary, through mediation or litigation in the courts of New South Wales.

10. Modification of Terms

10.1. Recroot reserves the right to modify these Terms and Conditions. The Customer will be notified of any changes, and continued use of the service constitutes acceptance of the updated terms.

10.2. If any term under this Subscription Agreement, whether full or in part, is found to be illegal, invalid, or unenforceable under any law or enactment, it will no longer form part of this Subscription Agreement. That will not affect the legality, validity, or enforceability of the rest of this Subscription Agreement, which will otherwise remain in full force and effect.

11. Service Availability and Support

Recroot agrees to provide the Customer with the following during the subscription period:

11.1 Full access to the Recroot platform for scheduling and conducting interviews.

11.2 Technical support as outlined in Recroot’s standard service level agreement.

Glossary:

Billing Cycle means the 30-calendar day period for which you are charged your Subscription Fees.

Payment Method means a current, valid, accepted method of payment, as may be updated from time to time.

Subscription Fee means the total amount payable by you to us in accordance with your chosen Subscription Plan as per the pricing plan(https://app.recroot.io/pricing).

Subscription Plan means the nominated plan you select to access the Services. Each Subscription Plan has defined products, features, limits and capabilities as per the pricing plan (https://recroot.io/Pricing).
